Intelligence 360 – Terms of Use

Effective Date: Date of First Publication

These Terms of Use (“Terms”) govern the use of Intelligence 360 (“Product”), an AI-powered lead research solution provided by Intelegain Technologies Pvt. Ltd. (“Intelegain”, “we”, “us”, or “our”).

By installing, accessing, or using Intelligence 360, you (“Customer”, “you”, or “your”) agree to be bound by these Terms.

1. Product Description

Intelligence 360 is an AI-powered lead research application designed to work with Microsoft Dynamics 365. The Product performs online research and generates intelligence reports, recommendations, outreach content, and business insights based on information provided by Customer and publicly available sources.

The Product may use artificial intelligence, automation technologies, and third-party services to generate its outputs.

2. License Grant

Subject to these Terms, Intelegain grants Customer a limited, non-exclusive, non-transferable, revocable license to use Intelligence 360 for its internal business purposes.

Customer may not:

Resell the Product.
Sublicense the Product.
Share access outside the licensed organization.
Use the Product for unlawful purposes.
Reverse engineer, copy, modify, or create derivative products based on Intelligence 360.

All rights not expressly granted are reserved by Intelegain.

3. Credits and Usage

Access to Intelligence 360 is governed through a credit-based usage model.

Complimentary Credits

Intelegain may, at its sole discretion, provide complimentary credits to new customers for evaluation and demonstration purposes.

Complimentary credits:

Have no cash value.
Are non-transferable.
Cannot be exchanged for refunds.
May not be sold or shared with third parties.

Purchased Credits

Customers may purchase additional credits directly from Intelegain.

Purchased credits:

Do not expire.
Are allocated to the licensed organization.
Are non-transferable.
Are non-refundable.
Cannot be resold or assigned to another customer or entity.

Intelegain reserves the right to update future pricing and credit packages without affecting credits already purchased.

4. Fair Use Policy

Customers must use Intelligence 360 reasonably and responsibly.

The following activities are strictly prohibited:

Sharing license keys, access credentials, or account access with unauthorized users.
Circumventing usage limits, credit controls, licensing restrictions, or security controls.
Attempting to bypass rate limits or automate abusive usage.
Creating excessive or unnecessary requests intended to exploit the Product.
Using the Product in a manner that negatively impacts platform stability, performance, or security.
Using bots, scripts, or automated mechanisms designed to abuse or overload the service.
Using the Product for unlawful, fraudulent, deceptive, or malicious activities.

Intelegain reserves the right to investigate suspected abuse and take appropriate action.

5. Customer Responsibilities

Customer is solely responsible for:

Maintaining the confidentiality of login credentials and license information.
Ensuring that all data submitted to the Product is lawfully collected and processed.
Compliance with applicable privacy, data protection, anti-spam, and marketing regulations.
Reviewing and validating all outputs generated by the Product before use.

Customer remains fully responsible for any communication, outreach activity, sales engagement, or business decision made using information generated by Intelligence 360.

6. AI Generated Content

Intelligence 360 uses artificial intelligence and publicly available information to generate reports, recommendations, draft emails, messaging content, and research insights.

While Intelegain endeavors to provide accurate and useful information:

AI-generated content may be inaccurate, incomplete, outdated, or unsuitable for a particular purpose.
Source references may change or become unavailable after reports are generated.
Outputs should be independently reviewed and verified before being relied upon.
Intelegain does not guarantee sales outcomes, conversions, business opportunities, revenue growth, or accuracy of generated recommendations.

Customer acknowledges that all final business decisions remain their sole responsibility.

7. Intellectual Property

Intelligence 360, including its software, design, workflows, documentation, branding, and underlying technology, is the intellectual property of Intelegain Technologies Pvt. Ltd.

Nothing in these Terms transfers ownership of Intellectual Property rights to Customer.

Customer retains ownership of its own CRM data and information submitted to the Product.

8. Suspension and Termination

Intelegain may suspend or terminate access to the Product if:

Customer violates these Terms.
Fraudulent or abusive activity is detected.
Unauthorized sharing of licenses or credentials occurs.
Customer attempts to compromise the security or integrity of the Product.
Continued access creates a security, legal, or operational risk.

Upon termination, Customer’s right to use the Product immediately ceases.

9. Third-Party Services

The Product may rely on Microsoft Dynamics 365, Microsoft Azure, AI services, public websites, and other third-party services.

Intelegain is not responsible for:

Third-party service disruptions.
Changes made by third-party providers.
Availability, accuracy, or reliability of third-party content or sources.

10. Disclaimer of Warranties

Intelligence 360 is provided on an “as-is” and “as-available” basis.

To the maximum extent permitted by applicable law, Intelegain disclaims all warranties, whether express or implied, including but not limited to:

Merchantability.
Fitness for a particular purpose.
Non-infringement.
Accuracy of generated content.
Continuous or uninterrupted availability.

Intelegain does not warrant that the Product will be error-free, uninterrupted, or meet every customer requirement.

11. Limitation of Liability

To the maximum extent permitted by law:

Intelegain shall not be liable for any indirect, incidental, special, punitive, or consequential damages.
Intelegain shall not be liable for any loss of revenue, profits, business opportunities, goodwill, or data arising from the use of the Product.
Customer assumes all responsibility for decisions made based on Product outputs.

12. Changes to the Product and Terms

Intelegain may modify, enhance, update, or discontinue features of Intelligence 360 at any time.

Intelegain may also update these Terms from time to time. Continued use of the Product following such updates constitutes acceptance of the revised Terms.
